Terms:
WHEREAS:
A. The Landlord is the legal and lawful owner of the Property and has full power, authority and capacity to enter into this
Agreement.
B. The Landlord may appoint a number of Leasing Agents to provide one-off brokerage services in respect of the
Property, pursuant to non-exclusive Leasing services agreements executed between the Landlord and the respective
Leasing Agents;
C. SKY LINKS PROPERTY POOL has the knowledge, expertise and resources to carry out marketing, leasing and
management supervision services.
D. The Landlord wishes to engage the services of to act as the Exclusive SKY LINKS PROPERTY POOL for the
above-mentioned Property according to specific terms contained in this Agreement and whereas the SKY LINKS
PROPERTY POOL has agreed to manage the said Property, the two parties have mutually agreed on the terms and
conditions set out hereunder this agreement.
NOW THEREFORE, THE PARTIES HAVE AGREED AS FOLLOWS:
1. UNDERSTANDING
In this Agreement, except where the context otherwise requires, the following words shall have the following meanings:
The headings in this Agreement will not be used in its interpretation.
SKY LINKS means SKY LINKS PROPERTY POOL
AED means the Dirham, the lawful currency of the United Arab Emirates.
Agency Fee means the fee payable by the Tenant for the brokerage service provided by the Brokerage Company
Agreement means this Agreement including the Particulars, Recitals and any Schedules.
Additional Services means the services to be provided by the Sky Links Property Pool, which are additional to the Services
including but not limited to lodging police cases in the case of bounced Cheques and lodging cases with the Dubai Municipality
Rent Committee on condition that the same has been mutually agreed in writing between the Sky Links Property Pool and the
Landlord in terms of scope, fees, and other related matters.
Fees means the fee payable by the Landlord to the Sky Links as set out in Item No. 4 of the Particulars in consideration of the
Services provided by the Sky Links pursuant to this Agreement.
Landlord means who is the legal and lawful owner of the Property and has full power, authority and capacity.
Landlord’s Expenses means those costs and expenses connected to the performance of the Services to be borne by the
Landlord.
Leasing Agent means the Sky Links Real Estate Broker and any other entity appointed by the Landlord in such capacity
pursuant to an executed brokerage agreement with the Landlord.
Marketing Materials means such sales and promotional literature, documentation and information, displays, banners, technical,
market and other support (whether published or unpublished, verbal, in writing by e-mail or other forms of electronic media)
created by the Sky Links or provided by the Landlord for the purposes of promoting and leasing the Property and to enable the Sky
Links to properly and efficiently discharge its duties under this Agreement.
Particulars mean the particulars forming part of this Agreement.
Property means the Property set out in Item No. 3 of the Particulars belonging to the Landlord.
Reserve Fund means an amount of money per Unit which shall be held on account of the Landlord and to be replenished on the
same amount, in order to pay the applicable maintenance providers.
Security Deposit means the Tenant’s refundable security deposit against renting of the property.
Services mean those services which are to be carried out by the Sky Links for the Landlord as set out in clause 4.3 of this
Agreement.
Tenant means any person renting any property.
Term means the term of this Agreement set as described in Item No. 7 herein.

Total Rental Revenue means the total sum of the annual rental Cheques payable in respect of the
property. For the avoidance of doubt, the total revenue shall include all amounts due and payable pursuant
to the executed Tenancy Agreements.
Working Day means any day which falls on a Saturday through to a Thursday, excluding any public sector holiday
announced by the governments of UAE or Dubai as being applicable in Dubai.
TAX means any value added tax or any other tax imposed or introduced by the Government from time to time.
2. APPOINTMENT
The Landlord hereby appoints and authorizes the Sky Links Property Pool to provide the Services for the
duration of the Term, and the Sky Links hereby accepts such Appointment on the terms and conditions set out
in this Agreement.
2.1.
The Landlord undertakes that he/she will not provide, nor give authority to any person other than the Sky Links to
provide, all or any of the Property Management supervision Services defined in this agreement, without the written
prior approval of the Sky Links Property Pool.
2.2.
The Sky Links agrees to act diligently, in a professional manner and in good faith under the Appointment.
The Landlord understands, is aware and agrees that the Sky Links is and will be engaged in supervision
management, leasing, brokerage, and other real estate activities with third parties, not related to the property and
shall not raise any issue to the same.

3. TERM AND TERMINATION
3.1. This Agreement shall be valid of the Term on the same terms and conditions unless a written notice is given by either
Party to the other Party at least two (2) months prior to the effect that the Agreement needs to be terminated or any
terms need to be modified.
3.2. Either Party may terminate this Agreement at any time without the need for any legal proceedings or court order:
(i) In the case that Landlord, may terminate this agreement at any time, provided that the Fee paid to the Sky Links Real
Estate Broker will not be refunded. However, the remaining Reserve Fund given to the Sky Links will be subjected for
refund to the Landlord.
(ii) If the Landlord commits a material breach of any of the terms of this Agreement and fails to remedy the breach
within thirty (30) days of receiving notice from the other Party specifying the breach and required, the breach to be
remedied. For the avoidance of doubt, any failure by the Landlord to pay any amount due to the Sky Links under
this Agreement shall be deemed a material breach by the Landlord.
3.3. Notwithstanding clauses 3.2, Sky Links Real Estate may at its sole discretion by giving two (2) month’ s notice to the
Landlord, terminate this Agreement at any time and no damages whatsoever can be claimed by the Landlord, as a
result thereof and without the need for any further notice, legal proceeding or court order. Notwithstanding the foregoing,
the Sky Links shall refund the Landlord the balance of the Fees for the period after the date of termination, calculated on a
pro rata basis.
3.4. The Sky Links Real Property Pool shall have the right to terminate the services under this Agreement without the need
for any notice or legal proceeding or court order for the Property that have been sold by the Landlord during the Term of
this Agreement to any person whatsoever. This Agreement shall continue in full force for the other Property covered
under this Agreement.
3.5. Upon termination of this Agreement for any reason, the Sky Links shall:
a) Promptly handover all Documentation held by the Sky Links Property Pool to the Landlord; and
b) Transfer all outstanding amounts due to the Landlord pursuant to clause 3.2 and 3.3.
4. SKY LINKS PROPERTY POOL’S OBLIGATIONS AND SERVICES
4.1. The Sky Links Property Pool agrees and undertakes at all times and during the terms of this Agreement:
4.1.1. To act towards the Landlord and his property conscientiously and in good faith and not to allow its
interests to conflict with the duties that it owes to the Landlord under this Agreement and the general.
4.1.2. To comply with all reasonable and lawful instructions of the Landlord and generally to act in such
manner as it thinks best to promote the interest of the Landlord.
4.1.3. To acquire a Tenant for the said property within 60 (Sixty) Working Days in assurance, exceeds to the
specified date will be non-chargeable by fee terms to Sky Links.
4.2. Leasing Services
The Sky Links property pool shall have the following leasing obligations in respect of the property:
4.2.1 To approach and use all reasonable endeavors to find prospective tenants for the Property and to use its
reasonable endeavors to secure and maintain tenants, including without limitation such reasonable
advertising of the Property as in the Sky Links property pool’s opinion is desirable and appropriate provided
that such advertising and marketing of the Property is carried out by the Sky Links in the normal course of
their promotional activities in relation to the Property and other properties advertised by the Sky Links.

4.2.2 To use its best efforts to negotiate the terms of the Tenancy Contract and execute the Tenancy Contract
including any amendments, extensions or renewals on behalf of the Landlord.
4.2.3 To collect from leasing agent and or tenant’s all rental payments and other charges due upon the Property all
rental payments and security deposits are to be made out in the name of the Sky Links Real Estate Broker or
Landlord.
4.2.4 To deposit and ensure each of the tenant payments will be debited punctually either to the Landlord’s
account or Sky Links.
4.2.5 To deliver on behalf of the Landlord such as issuing of No objection Certificates and Letters for non-interference
between government entities, municipality, developers and banks, and default notices, or other such notices, to
tenants of the Property as may be required from time to time.
4.2.6 To prepare proper documentation and financial records to be kept including a record of all sums of money received
and consumed pursuant to the executed Tenancy Agreements and the matters in respect of which such receipt and
expenditure occur.
4.2.7 To attend, inspect and document the handing over of each rented Property to or from a Tenant in its presence.
4.2.8 The Sky Links and Landlord are expected to communicate when needed to review budgets, and tenant and
maintenance issues. Sky Links will use its best judgment to communicate to Landlord any critical information that
affects the operation of the Property
4.2.9 The Sky Links will be responsible for the following administrative services:
a. Collection of rent and security deposits on behalf of Landlord.
b. Coordinate tenant move-in ensuring the Property is ready for occupation and has been de-snagged, condition
report completed, signed lease agreement on file, keys delivery, and that DEWA details have been transferred in
the new tenants account.
c. Coordinate tenant move-out ensuring the Property has been vacated, keys and access cards returned, inspection
report completed with tenant’s acknowledgement including any deductions for damages and repair, and that
DEWA’ details have been disconnected from outgoing tenant with evidence of final bill payment.
4.2.10 The Sky Links property pool shall be responsible for the following tenant services:
i. Renewal of tenancy contracts
ii. Termination of tenancy contracts
4.3. Maintenance Supervision Services
4.3.1. The Sky Links shall act as association between the Landlord and contracted reputable maintenance suppliers.
4.3.2. The Sky Links shall manage the negotiation of all contracts from maintenance contractors, suppliers and other
services related to the maintenance of the Property.
4.3.3. The Landlord shall have to bear the costs of repairs and replacements reasonably necessary to keep the Property
in a habitable condition, and any amount exceeding AED 1000 (One Thousand Arab Emirates Dirham) must be
approved by the Landlord except in case of emergency wherein the repairs/ replacements are needed to protect
and preserve the Property. Approval procedure through email or Whatsapp, or any other mode of communication,
in case of no response for more than three (3) days, by default it is approved.
4.3.4. The Sky Links shall ensure that occupied units that are to be vacated will be inspected as soon as the existing
tenant vacates the Property. Any rectification works for damages caused by the tenant, taking into account normal
wear and tear will be deducted from the tenant security deposit.
4.4. Additional Services
4.4.1. The services to be performed by the Sky Links as set out in clauses 4.2 and 4.3 hereof shall be included within the
fee payable by the Landlord under Item No. 4 of the Particulars hereof. If the Landlord so elects, Landlord can
request that the Sky Links also carries out additional services and if the Sky Links agrees to carry out such services
then the fee for these shall be in addition to the fee payable by the Landlord under Item No. 4 of the Particulars
hereof and shall be agreed upon between the parties prior to the Sky Links carrying out any such additional
services.
4.4.2. If the Sky Links is required to hire an attorney to deal with and perform any such legal proceedings then the
Landlord shall be responsible for the fees, costs and disbursements of the attorney and all other such costs
ancillary to such proceedings including any fee payable to the Sky Links in dealing with such matters. If the
Landlord wishes to hire its own attorney or to otherwise deal with the legal proceedings itself then he shall notify
the Sky Links accordingly and the Sky Links shall immediately cease to deal with all such matters provided that
this shall be without prejudice to the Landlord’s obligation to reimburse to Sky Links and pay for all legal and other
costs incurred by the Sky Links up to that time.
5. LANDLORD’S OBLIGATIONS
5.1. The Landlord undertakes and agrees with the Sky Links during the Term of this Agreement, to act at all times in its
relation with the Sky Links dutifully and in good faith.
In consideration of the Services provided, the Landlord shall pay the Fees as defined in Item No. 4 of the Particulars which
shall be payable to the Sky Links throughout the Term of this Agreement.
5.3.1. The Landlord shall pay all expenses owed to Sky Links, third party maintenance suppliers or any other
contractors rendered for the maintenance of the Property.
5.3.2. The Landlord shall pay all utility bills related to the apartments when the apartments are not rented.
5.3.3. The Landlord shall pay all expenses related to building service charges, including any utility fees with respect to its
proportional ownership of the building.

5.3.4. The Landlord shall be responsible for any government related charges, taxes or registration fees incurred for the
ownership of the Property as per the rules and regulation of Real Estate Regulatory Authority and/or the Government
of Dubai.
5.3.5. The Landlord shall pay all expenses set out in clause 4.4 should they be requested by the Landlord
5.4. Provide Access
The Landlord shall grant to the Sky Links, and its agents, sub-contractors and other authorized persons, reasonable
access and authority to enter the Property to carry out the services.
5.5. Tenants
The Landlord shall give the Sky Links rights to screen and approve or disapprove prospective tenant(s).
5.6. Provide Records
The Landlord shall furnish to the Sky Links all documents and records available to the Landlord which may be
reasonably required by the Sky Links in connection with the performance of its duties and obligations hereunder.
5.7. Further Acts
The Landlord shall execute and deliver all such documents and perform all such acts and things, as may be
reasonably required or desirable in the opinion of the Sky Links to enable the Sky Links to properly perform its duties
and obligations hereunder.
5.8. Cooperation
The Landlord shall generally cooperate to ensure that the Sky Links is able to carry out its obligations
hereunder.
5.9. Power of Attorney
Grant the Sky Links, within 7 days from the date of this Agreement, the power of attorney to enable the
Managing Agent fulfill its obligations under this Agreement.
6. INDEMNITY
The Landlord agrees to indemnify and hold harmless the Sky Links , its officers, employees, servants, or agents from and
against all actual basis losses, costs, expenses and damages incurred, suffered or to be incurred or suffered by the Sky
Links as a result of or in connection with any Claim in relation to or in connection with this Agreement.
7. CONFIDENTIALITY
During the Term of this Agreement each of the Parties shall at all times respect the confidentiality of any information
belonging or relating to the other including, but not limited to, market or project information (whether technical or
otherwise) which comes into its possession directly or indirectly as a consequence of this Agreement and neither of the
Parties shall give or disclose any such information to any third party, save for their respective professional advisors in
confidence, without the prior written consent of the other.
8. ASSIGNMENT
This Agreement may only be assigned by a Party after obtaining the prior written consent of the other Party, such
consent not to be unreasonably withheld.
9. GENERAL
9.1. Notices: Any notice given under this Agreement shall be in writing in the English language and shall be served by
delivering it personally or sending it by courier or fax to the address or fax number as set out in the Particulars of
this Agreement. Any such notice shall be deemed to have been received:
9.1.1. If delivered personally, at the time of delivery;
9.1.2. In the case of courier, on the date of delivery as evidenced by the records of the courier;
9.2. Amendment: No variation of this Agreement shall be valid unless it is in writing and signed by each of the Parties or
their authorized representatives.
9.3. No Waiver: No concession or other indulgence granted by the Sky Links to the Landlord whether in respect of time for
payment or otherwise in regard to the terms and conditions of this Agreement shall be deemed to be a waiver of its
rights in terms of this Agreement.
9.4. Further Acts: Each of the Parties shall do all such things, and sign/execute all such documents, as are reasonably
necessary to give effect to this Agreement.
9.5. Law and Jurisdiction: This contract is subject in its interpretation and application to the laws in force in the Emirate of
Dubai and the civil courts in are competent to hear any dispute arising thereon.
